The Canadian tech firm will issue up to 50M units to fund AI development and U.S. market expansion for its compliance platform.

Visionstate Corp (VIS:CA) has launched a non-brokered private placement to raise between C$500,000 and C$1M. The offering includes up to 50M units priced at C$0.02 each, with each unit comprising one common share and half a warrant exercisable at C$0.05 for 24 months.

Proceeds will accelerate the commercial rollout of the MIRA Compliance Intelligence Platform, focusing on AI development, sales growth, and U.S. market penetration. Additional funds will support working capital, customer deployments, distributor expansion, and investor relations.

The placement is structured under the LIFE exemption, targeting eligible investors without broker involvement.
