G Mining Ventures will acquire G2 Goldfields in a share-based deal, creating a major gold mining hub in Guyana.
G Mining Ventures Corp (TSX:GMIN) and G2 Goldfields Inc (TSX-V:GTWO) expect to complete their proposed arrangement by the end of July 2026. The deal involves GMIN acquiring all outstanding G2 shares, followed by a spin-out of G3 Goldfields.
Under the terms, G2 shareholders will receive 0.212 GMIN shares and 0.5 G3 shares per G2 share held. G2 shares will be delisted from the TSX-V and OTCQX, while G3 plans to list on the Canadian Securities Exchange.
The transaction aims to establish a low-cost gold operation in Guyana, positioning it among the largest in the Americas. The effective date will be announced upon closing conditions being met.
