The sale of 3,718 shares by CEO William Shane Trigg was non-discretionary to cover tax obligations from vesting equity awards.

AppFolio CEO William Shane Trigg sold 3,718 shares of Class A Common Stock on August 10, valued at approximately $742,000 based on a weighted average price of $199.54. The transaction was executed to cover tax withholding obligations tied to the vesting of performance-based and time-based restricted stock units (RSUs and PSUs).

The vesting involved equity awards from 2024 and 2025 grant cycles, as well as RSUs granted between 2023 and 2026. Despite the sale, Trigg retains 72,829 shares, valued at $14.79 million as of August 11. AppFolio shares have declined roughly 30% over the past year.

The sale was non-discretionary and does not reflect the CEO’s market outlook, according to the SEC filing.
