ZeroStack Corp. ($ZSTK) has agreed to a $1 billion crypto contribution deal, receiving 925,925,926 MemeCore ($M) tokens valued at $1.08 each. The transaction grants Puple AI and Blockcat equity in ZeroStack, including 3.5 million common shares and warrants for up to 36.198 million additional shares at $25.19 each.
The warrants, priced at over 12 times ZeroStack’s recent trading price, require shareholder approval under Nasdaq Listing Rule 5635 and include a 10-year lock-up. The deal expands ZeroStack’s exposure to decentralized AI and meme-driven blockchain ecosystems.
Management stated the partnership aims to position ZeroStack as a gateway to next-generation digital infrastructure, leveraging MemeCore’s community for future AI distribution.
