The proposal includes approximately $50 billion in committed bank financing and reflects a 28% premium to PayPal’s closing price on Tuesday.

PayPal’s market capitalization has declined sharply from its 2021 peak of $360 billion to around $36 billion this year, amid slowing growth and rising competition from digital wallets like Apple Pay and Google Pay. An earlier approach was made in April, with both firms now pushing to advance negotiations.

PayPal shares surged roughly 16% in premarket trading Wednesday following the news. The deal, if completed, would mark one of the largest payments sector acquisitions in recent years.
