Samsung Biologics will acquire PolyPeptide Group for $1.81bn in an all-cash tender offer at SFr44.31 per share. The deal excludes treasury shares and requires nearly 67% shareholder acceptance, along with regulatory approvals, to close by year-end.
PolyPeptide’s board unanimously supports the offer, with its largest shareholder, holding 55.65% of outstanding shares, irrevocably committing to tender. The company operates facilities across Europe, India, and the U.S., specializing in peptide-based active pharmaceutical ingredients.
The acquisition aims to diversify Samsung Biologics’ portfolio into peptide therapeutics, addressing rising demand in the sector. PolyPeptide has produced over 1,000 therapeutic peptides historically.
