Shareholders will receive $18.50 per share, a 26% premium, as the biosimulation software firm exits Nasdaq.

Altaris affiliates will acquire Simulations Plus in a $375m all-cash transaction, paying $18.50 per share. The price reflects a 26% premium over the 60-day volume-weighted average as of 15 June 2026.

Simulations Plus’ board unanimously approved the deal, which requires shareholder and regulatory approvals. The transaction is expected to close in Q4 2026. The company will be delisted from Nasdaq post-acquisition.

Altaris plans to merge Simulations Plus with portfolio company Chemical Computing Group to create a broader biosimulation platform for drug discovery and development.
