Helen of Troy shareholders approved all four proposals at the company’s June 18, 2026, annual meeting, including the election of nine directors, executive compensation, an expanded stock incentive plan, and Grant Thornton as fiscal 2027 auditor. A total of 23,292,061 common shares were eligible to vote, with a majority represented in person or by proxy.

CEO G. Scott Uzzell outlined fiscal 2026 challenges, including tariffs, cautious retailers, and shifting trade patterns, but noted progress in supplier diversification, product streamlining, and debt reduction. Fiscal 2027 will focus on reinvesting in priority brands, improving innovation, and decentralizing decision-making.

The company did not disclose immediate market reactions following the shareholder approvals.
