Metaplanet will contribute 2,100 BTC, valued at approximately $132.1 million, and $2.5 million in cash to Nasdaq-listed Super League Enterprise in exchange for stock, preferred shares, and warrants. The deal will rename Super League to Superplanet, with Metaplanet owning about 95.7% of the common stock post-transaction.

The transaction marks Metaplanet’s first operational expansion outside Japan and leverages its existing Bitcoin holdings. Super League, a gaming media company, will retain its advertising business as a separate segment. The closing is expected in the fourth quarter.

Metaplanet CEO Simon Gerovich described the move as a strategy to access deeper capital markets by consolidating its Bitcoin position under a US-listed entity.
