The deal values Lantheus at $102.50 per share, with potential additional payouts up to $114.50 if milestones are met by 2030.

Curium, backed by CapVest Partners, will acquire Nasdaq-listed Lantheus in an all-cash transaction worth up to $8bn. The offer includes $102.50 per share, plus contingent value rights (CVRs) of up to $12.00 per share tied to commercial milestones by 2030.

The $102.50 base offer represents a 38% premium to Lantheus’ 60-day volume-weighted average price and a 21% premium to its closing price on 21 May 2026. The deal has received unanimous approval from Lantheus’ board and will take the company private upon completion.

Lantheus CEO Mary Anne Heino stated the merger combines two leaders in radiopharmaceuticals, aiming to expand patient access to diagnostics and therapeutics. The transaction is expected to close in the coming months.
