Organon & Co. shareholders approved a proposed merger with Sun Pharmaceutical Holdings USA, Inc. at a virtual special meeting on Wednesday. The vote clears a major hurdle for the transaction, which will see Organon become a wholly owned subsidiary of Sun Pharma USA.

The merger agreement, dated April 26, 2026, was the primary focus of the meeting. Shareholders also provided non-binding advisory approval for potential merger-related compensation for Organon’s named executive officers. Final voting results will be filed with the SEC.

Organon (NYSE:OGN) did not disclose immediate market reactions following the vote. The deal’s completion remains subject to regulatory and other customary closing conditions.
