Private equity firm Warburg Pincus is finalizing a deal to acquire specialty pharmacy PANTHERx Rare for more than $7 billion, including debt. The acquisition involves a partnership with Abu Dhabi Investment Authority, with a potential agreement expected soon, though terms remain subject to change.

PANTHERx Rare, based in Pittsburgh, focuses on medicines and support services for rare and orphan diseases. The company was previously owned by General Atlantic and other investors after Centene sold it in 2022 as part of a business streamlining effort. The deal reflects a broader push by private equity firms to execute exits amid a backlog of portfolio companies.

Warburg Pincus, which manages over $100 billion in assets, has expanded its healthcare investments in recent years. The firm has not commented on the transaction, and PANTHERx has yet to respond to inquiries.
