Britain’s potential intervention adds timing uncertainty and quarterly $650 million fees to Paramount’s $110 billion Warner Bros. acquisition.

Paramount’s $110 billion bid for Warner Bros. Discovery faces a new hurdle after the UK government signaled it may intervene on public-interest grounds. Culture Secretary Lisa Nandy indicated she is “minded to” refer the deal to the Competition and Markets Authority, delaying closure and raising costs for Paramount.

The deal includes a 25-cent-per-share ticking fee, equating to roughly $650 million quarterly if the transaction extends past September 30. Paramount shares trade at $10.39, valuing the company at $11.6 billion, while Warner Bros. shares sit at $26.48.

Investors now weigh the risk of prolonged regulatory scrutiny, which could pressure Paramount’s financials and derail the merger timeline.
