Irish construction group CRH will acquire US-based Arcosa in an $8.5bn all-cash transaction. The deal offers Arcosa shareholders $150 per share, a 25% premium over its 60-day VWAP as of June 18.

Arcosa operates 109 quarries, nine asphalt plants, and 19 terminals, with expected annual shipments of 35 million tonnes. The company leads in US engineered structures, driven by grid modernisation and electrification demand.

CRH expects $175m in annual run-rate cost synergies within three years. The transaction, subject to approvals, is set to close in Q1 2027 and values Arcosa at 11.5 times projected 2026 adjusted EBITDA.
